Evoke shareholders have provided their strong approval of the company’s proposed £243 million takeover by Bally’s Intralot. During the meeting, 99.63% voted in favor of the offer while 0.37% voted against it.
Meeting for some of the other court proceedings that took place on the same day gave similar results. Among 31 shareholders who voted on the scheme, 30 supported it. The HAC has still to give its verdict on the issue.
If approved, Evoke, the parent company of William Hill, 888 and Mr Green, would enter Bally’s Intralot. The new company is expected to be among the UK leaders in terms of the client base and income generated. The deal should be completed by late 2026 or early 2027 under the procedure stipulated by the Gibraltar Companies Act 2014.
Bally’s Intralot has decided to acquire Evoke in a transaction involving shares and announced in June. Under the proposed terms of the deal, Evoke shareholders will receive 0.537 new Intralot shares in exchange for every Evoke share, which amounts to approximately €0.60 per Evoke share based on Intralot’s share price of €1.12 at that time.
Evoke Chairman Mark Summerfield stated that the board examined different alternatives against the backdrop of higher UK gambling taxes such as the rise in Remote Gaming Duty from 21% to 40% and recommended the acquisition.
The shareholders’ approval comes after Bally’s Intralot published its Q2 2026 results that showed a 20.5% increase in revenues year-on-year getting from €568 million to €684 million. The group’s CEO Robeson Reeves also said that after the acquisition, his company does not plan to sell Evoke or any particular asset.
