Bally’s Intralot shareholders have voted for the €283.2 million acquisition of Evoke, signifying that the approvals from the shareholders have now been concluded for the acquisition.
At Bally’s Intralot’s annual assembly, 99.585% of shareholders approved the acquisition while 0.415% voted against it.
Approval for the deal was received from the Evoke shareholders earlier on August 17, with 99.63% backing the deal. The acquisition is valued at £0.52 per Evoke share, that is around €0.61 translating to €283.2 million in total.
With the shareholders of both companies having approved the acquisition, it must now seek the necessary regulations.
A court approval hearing is also required to validate the scheme of arrangement through which the acquisition will take place with the approval being obtained in the fourth quarter of 2026 or the first quarter of 2027.
The acquisition takes place against the backdrop of both companies entangled in debt issues.
Evoke reported debt for 2025 at a staggering level reaching €2.20 billion and Bally’s Intralot’s net debt amounting to €1.17 billion ($1.34 billion).
Bally’s Corporation, who owns 58% of Bally’s Intralot also has had to navigate debt challenges along with mentioning the doubt about its capacity to remain as a going concern.
Bally’s Intralot has decided to acquire Evoke in a transaction involving shares and announced in June. In August Evoke shareholders have provided their strong approval of the company’s proposed £243 million takeover.
Evoke began a strategic review in December 2025 and subsequently explored a potential sale following the UK government’s decision to increase online gambling taxes.
